Elon Musk says SpaceX closed $40 billion of GPU debt financing, crediting its investment-grade rating. Two days earlier, Bloomberg reported a special-purpose-vehicle structure designed to keep the debt off SpaceX's own books to protect that rating (Bloomberg has since marked its headline corrected). Then SpaceX filed the actual plan.

SpaceX's 8-K (filed Oct. 26) describes a binding commitment to enter a master finance lease: an Apollo-managed entity will buy GPU pods and lease them to SpaceX, in tranches of about five years, starting in the first half of 2027. Rent is one-twentieth of each tranche's cost per quarter plus a fixed rate that has not been priced yet. The lease is expected to close by year-end.

Under U.S. accounting rules (ASC 842), a finance lease is recorded on the lessee's balance sheet when it begins — and SpaceX's 10-Q already counts finance leases with its debt. For scale, SpaceX reported about $38 billion of debt principal at Sept. 30; the lease principal would be about $40 billion. That is a size comparison, not a new total.

Semafor reported indicative costs of about 7.75% and 8.3% for different slices of the financing; final rates are not set. Elsewhere this month: Firmus shelved its IPO, Nscale's IPO target met investor pushback (Bloomberg), and Nebius signed a $3.5B, 364-day secured Citi loan (6-K).
